Vendor Audit

Your vendors are an extension of your business, which means their failures, their breaches, and their non-compliance can become your liability with very little warning. A supplier who mishandles data, infringes someone’s intellectual property, breaks labour law, or simply collapses can drag your company into a dispute or a regulatory problem that you did nothing …

About Vendor Audit

Third-party risk is one of the most underexamined areas in most businesses. Vendors are onboarded for commercial reasons and rarely revisited for legal ones. Our team audits the relationships that matter: the contracts that govern them, the obligations they impose on both sides, the protections you actually hold, and the conduct that could expose you. We look at whether your vendor agreements contain the indemnities, confidentiality, data-protection, compliance-warranty, and termination rights that genuinely protect you, and whether key vendors are concentrated in a way that creates dependency risk.

Law Mahaguru reads vendor risk through several lenses at once. The contractual lens asks whether the paper protects you if the vendor fails or breaches. The compliance lens asks whether your vendors’ conduct, on data, labour, environment, or anti-bribery, could implicate you, which increasingly it can under modern liability regimes. The continuity lens asks what happens to your operations if a critical vendor disappears, and whether you have the rights to transition away cleanly. The audit pulls these together into a clear view of where your supplier base exposes you.

What clients value is that the audit is practical and prioritised. We identify the high-risk vendors and the high-risk gaps first, recommend the contractual fixes that close the most dangerous exposures, and flag where dependency or concentration warrants a second source. We have helped businesses discover that their most critical suppliers were governed by the thinnest contracts, exactly the inversion that causes the most damage when something goes wrong.

We conduct vendor audits for companies with significant supplier or outsourcing dependencies, businesses tightening third-party risk ahead of a transaction, and organisations responding to a vendor failure that exposed a gap. Each receives a clear assessment of where the supplier base is sound and where it is exposed, with a plan to address it.

A chain is only as strong as its weakest vendor, and your liability often runs straight through them. Law Mahaguru makes that risk visible and manageable. Tell us about your key suppliers, and we will show you where your third-party exposure really sits.
