FDI Compliance

Foreign money entering an Indian company arrives wrapped in rules, and the penalties for getting them wrong are severe. The wrong entry route, a missed sectoral cap, a valuation that does not satisfy FEMA, or a reporting deadline let slip can turn a welcome investment into a compounding liability. About FDI Compliance

The first question is always the route. Most sectors permit FDI through the automatic route, but many carry sectoral caps, conditions, or a requirement for government approval, and some are prohibited outright. Getting this wrong at the planning stage is the costliest error of all. Our team maps your proposed investment against the current FDI policy, confirms the applicable cap and conditions, and identifies whether you need government approval before a rupee moves, so the structure is sound from the start.

Pricing and reporting are where compliance is actually proven. The instruments issued to a foreign investor must be priced in line with the FEMA pricing guidelines, supported by a valuation from the appropriate professional, and the transaction must be reported to the Reserve Bank within the prescribed timelines, principally through the FC-GPR for fresh issues and the FC-TRS for transfers between residents and non-residents. Law Mahaguru manages the valuation inputs, prepares the filings accurately, and submits them within the windows, because late reporting under FEMA invites a compounding process that is entirely avoidable with discipline.

What distinguishes our work is that we treat FDI compliance as a continuing obligation, not a one-time event. Downstream investments by a foreign-owned Indian company carry their own conditions. The annual return on foreign liabilities and assets is easy to forget and important to file. Subsequent rounds, transfers, and changes in shareholding each trigger their own requirements. We keep the whole sequence in view, so a clean initial investment does not quietly fall out of compliance later.

We act for foreign companies and investors entering India, Indian companies receiving foreign investment, and businesses regularising past FDI that was reported late or incorrectly. Each receives clear guidance on the route, the conditions, and the filings, and reliable execution of the reporting itself.

FEMA rewards precision and punishes delay, and foreign investment deserves to be handled by people who know the regime closely. Law Mahaguru is that team. Tell us about the investment you are planning or have received, and we will make sure it complies from the first instrument to the latest filing.
