Governance Review

Governance is the quiet thing that investors, lenders, and acquirers judge a company by before they judge anything else. Strong governance signals that a business is well run, that its decisions are sound and documented, and that its controls would catch a problem before it became a scandal. Weak governance does the opposite, and it …

About Governance Review

A governance review looks well beyond whether the statutory boxes are ticked. Our team examines how decisions are actually made and recorded, whether the board and its committees function as intended, how authority is delegated and controlled, whether there are clear policies on conflicts of interest, related-party transactions, and material decisions, and whether the company’s records genuinely reflect how it is run. We look at the substance of governance, not just its form, because the substance is what holds up when a company is tested.

Law Mahaguru’s review is calibrated to where a company is in its life. The governance a founder-run startup needs differs from what a company approaching institutional investment needs, which differs again from what a company contemplating a public listing must demonstrate. We assess the framework against the standard the company should be meeting now and the one it will need to meet next, so the review is forward-looking rather than merely a snapshot. This matters because governance is most often found wanting precisely when a company tries to graduate to a higher stage and discovers its framework has not kept pace.

The value is credibility and resilience. A company with sound governance raises capital more easily, withstands scrutiny more confidently, and is far less likely to suffer the controllable failures, the unauthorised decisions, the undocumented related-party deals, the conflicts that went unmanaged, that damage value and reputation. We help companies build a governance framework that is an asset in a negotiation and a safeguard in a crisis.

We conduct governance reviews for companies preparing for investment or a transaction, businesses professionalising as they scale, and boards that want an independent assessment of how well the company is actually governed. Each receives a clear evaluation of the governance framework and a practical plan to strengthen it.

Governance is the first thing serious counterparties assess and the last thing a company should leave to chance. Law Mahaguru makes yours something to be proud of. Tell us about your company, and we will review how well it is directed and controlled.
